Retainer Terms & Fair-Use Policy
Licensing Professionals
These terms apply to all clients engaged on a monthly licensing and compliance retainer with Licensing Professionals (a trading name of Dynamo Training Solutions Ltd).
1. Nature of the Retainer
Our retainer packages provide ongoing licensing and compliance advice, and access to professional support within defined limits, as set out in the selected package.
The retainer is designed to provide continuity of advice, early intervention, and compliance oversight. It is not an on-demand or unlimited service, nor does it replace formal applications, legal representation, or external legal advice.
2. Fair-Use of Support Time
Each retainer includes a maximum monthly allowance of support time, as stated in the package description.
Fair-use means:

Advice is proportionate and reasonable

Requests are limited to matters relating to the client’s licensed premises

Support is provided during normal business hours unless otherwise agreed
Unused time does not roll over to subsequent months.
If support requests exceed the monthly allowance, additional work will be:

Quoted separately in advance, or
-
Carried out at our standard hourly rate, subject to client approval
3. What the Retainer Includes
Unless otherwise stated, retainers may include:

Licensing compliance advice and guidance

Review of correspondence from licensing authorities or responsible authorities
-
Support preparing draft responses to licensing queries
-
Guidance on compliance with premises licence conditions
-
Strategic advice relating to licensed operations
Support may be provided by email, telephone, or video call, depending on the nature of the issue.
4. What the Retainer Does NOT Include
Monthly retainers do not include:

Submission or drafting of premises licence applications or variations
-
Formal representation at hearings, reviews, or appeals

Council or statutory application fees
-
Legal advice or legal representation
-
Emergency out-of-hours attendance unless agreed in advance
These services are available to retained clients at preferential rates and will be quoted separately.
5. Response Times
Response times are targets, not guarantees, and are based on the selected package:

Essential: within 48 hours

Professional: within 24 hours
-
Premier: same working day where reasonably practicable
Urgent matters should be clearly identified when contacting us.
6. Client Responsibilities
To ensure effective support, the client agrees to:

Provide accurate and complete information

Maintain required records (incident logs, refusals, policies, etc.)

Act on professional advice provided
-
Notify us promptly of inspections, enforcement action, or incidents
We cannot be responsible for non-compliance arising from failure to follow advice or disclose relevant information.
7. Duration & Termination
Retainers operate on a rolling monthly basis unless otherwise agreed.
Either party may terminate the retainer with 30 days’ written notice.
Fees are payable monthly in advance and are non-refundable once the billing period has commenced.
8. Limitation of Liability
Licensing Professionals provide professional consultancy services based on current licensing legislation and guidance.
We do not guarantee outcomes of:

Licensing applications
-
Hearings or reviews
-
Decisions made by licensing authorities or responsible authorities
Our liability is limited to the value of the retainer fees paid in the preceding 12 months, except where prohibited by law.
9. Acceptance of Terms
Engagement on a monthly retainer constitutes acceptance of these terms and the selected package scope.
